Onim Terms of Service

The terms on which the Onim Platform provides its services to sellers: sales commission, tokens, domains, marketplace, partner programme and settlements.

Version of 11 October 2026 Русская версия
This is a translation; in case of discrepancy the Russian version prevails. The offer is accepted in its Russian version published at onim.app/offer.
Date of publication: 11 October 2026. Effective date: 19 October 2026. For persons who first accept the offer after the date of publication, this version applies from the moment of acceptance. For Sellers who accepted the offer earlier, the version of 27 June 2026 applies until 19 October 2026; its text is available on request at support@onim.app. For such Sellers, the rates of this version apply to sales paid on or after its effective date. Clause 3.6 “Partner services” was added on 18 October 2026 and applies from the date of publication, as it does not worsen the Seller’s position (section 15). Clause 4.4 “Payment only through Onim”: date of publication 25 October 2026, effective date 1 November 2026 (no earlier than 7 calendar days after publication, section 15). The procedure of warnings and of the automated check with an explanation in clause 4.4 was published on 25 October 2026 and applies from the date of publication, as it does not worsen the Seller’s position (section 15). The clause on the YouTube Terms of Service in section 7 was added on 1 November 2026 and applies from the date of publication, as it restates YouTube’s own terms and does not worsen the Seller’s position (section 15).

This document is the public offer of AlmaStars Group, a sole proprietorship (“the Platform”, “Onim”), and sets out the terms on which software for online sales is provided (goods and services, subscriptions and courses, orders and bookings). The “Services and pricing” page forms an integral part of the offer. The Privacy Policy, the Payment procedure, the Refund terms and the Delivery terms apply to relations with the Seller to the extent they concern the Seller; the Platform’s obligations to the Seller are determined by this offer. Where figures (rates, prices, packages) differ, the “Services and pricing” page applies in the version that has entered into force under section 15 on the date of the transaction; in case of any other conflict, this offer prevails. The Russian version of the documents prevails over any translation.

1. Subject of the offer and role of the Platform

Definitions: “User” means any person who has accepted the offer (a Seller, a partner, a marketplace provider). “Buyer” means a person who has placed an order with a Seller. “Marketplace provider” means a User who has listed a template or a service on the marketplace. “Workspace” means the my.onim.app workspace or the Telegram workspace @onimappbot.

The Onim Platform provides sellers (experts, shops, restaurants, practitioners and others, “the Seller”, referred to as “Автор” in the Russian version) with software for online sales: a storefront for goods and services, tools for accepting payments, management of customers, orders, bookings and subscriptions, and sales automation using artificial intelligence.

The services are accessed through the Seller’s workspace my.onim.app and, for Sellers who have not yet moved to my.onim.app, the Onim Telegram workspace (@onimappbot). Sales are made through the Seller’s storefront, Telegram and other channels the Seller has connected. In addition, the Platform provides artificial intelligence features and domain registration for internal tokens, as well as access to the marketplace of templates and specialists and to the partner programme (sections 3.1 to 3.5).

For every product of the Seller on any channel (the storefront onim.app/<username>, the Seller’s own domain, a bot, Instagram, WhatsApp and other channels), the seller and the party to the contract with the buyer is the Seller. The Platform is an information intermediary and a software provider. It is not the seller, the performer, the carrier or a payment agent in respect of buyers’ payments for Sellers’ products, does not enter into contracts with buyers on the Seller’s behalf and does not accept money on behalf of the Seller. Technical actions the Platform performs on the Seller’s instructions and settings (issuing invoices from the Seller’s Kaspi Pay account, sending buyers messages, invoices and reminders, granting and closing access, processing buyer data) form part of the software service. They are performed in the Seller’s name and do not make the Platform a party to the contract with the buyer. The Seller is responsible to the buyer for the consequences of these actions, except where the Platform acted contrary to the Seller’s settings or instructions.

Buyers address claims about quality, delivery, performance and refunds to the Seller. The Platform may show buyers the Seller’s details as the seller, as entered by the Seller (on the payment page, in the storefront documents and at a buyer’s request), including in order to comply with the e-commerce law of the Republic of Kazakhstan.

The Platform is not a party to the Seller’s obligations to buyers or other third parties (investors, lenders, partners, co-authors of the Seller) and is not liable for them; claims under such obligations are addressed to the Seller.

The Platform’s revenue for its own services (tokens, domains, sales commission and other services listed on the “Services and pricing” page) is received into the accounts of AlmaStars Group, a sole proprietorship. The owner of the Platform and persons related to the owner may sell their own products on the Platform as ordinary Sellers, on the general terms of this offer; such sales are governed by a separate offer of that seller showing its details, and buyers’ money for such products is not revenue of the Platform. The order of listings in the catalog and on the marketplace is determined by rules that are the same for all sellers (ratings and sales).

2. Acceptance and account

Any of the following constitutes acceptance of the offer: registering or signing in to the my.onim.app workspace (with a code sent by email, through Google, through Telegram or with a password), registering in the Onim Telegram workspace @onimappbot, or starting to use the services. Acceptance means full agreement with the offer and with the documents listed in its introduction. Placing a listing or an order on the marketplace and taking part in the partner programme constitute agreement with sections 3.3 to 3.5.

The offer is addressed to persons from any country. A Seller, partner or marketplace provider must be a person with full legal capacity aged 18 or over, a sole proprietor or a legal entity, including those registered outside the Republic of Kazakhstan; by accepting the offer the person confirms this. If a minor is identified, the Platform may suspend the account; obligations to buyers are performed, and earned amounts are paid out through the legal representative on the basis of documents.

The User confirms that they are not subject to sanctions and are not acting in the interests of sanctioned persons. The Platform may refuse, freeze or cancel a transaction where required by law, payment providers or registrars.

The account owner is the person shown in the workspace as the seller (seller details); if no seller details are entered, the owner is the person who registered the account (sign-in through Telegram, email or Google). The account, the bot and the customer base may be transferred to another person only through support, on a written application from both parties and after the new seller has been checked. In a dispute between co-owners, the Platform may freeze changes of payment details and payouts until the parties agree or a court decides, and does not take part in the dispute.

The Seller keeps access to the Telegram, email and Google accounts used to sign in to the workspace confidential. Actions taken from the Seller’s account are deemed to be the Seller’s actions until the Seller notifies the Platform that the account has been compromised; after such notice the Platform may block payouts, changes of payment details and broadcasts. The Platform is not liable for buyers’ payments to payment details changed from the Seller’s account, except where the account was compromised through the Platform’s fault.

Messages and notices from the Platform are sent through the workspace, @onimappbot or to the account email address; a notice is deemed received on the day it is sent through any of these channels. The Seller must keep the email address and access to these channels up to date. Written applications from the Seller are sent from the account email address to support@onim.app or through the workspace; such a message is treated as a written document signed by the Seller.

3. Fees and Platform commission

0 ₸registration and subscription fee
2%commission on each paid sale, one rate in my.onim.app and the Onim Telegram workspace
7 dayswithout commission after the first paid sale

Registration is free, and there is no subscription fee and there are no paid plans. The paid items are the sales commission, tokens (artificial intelligence features, including automatic receipt recognition, domains, the marketplace) and other services listed on the “Services and pricing” page.

For sales paid by buyers and accepted through the Platform, the Seller pays the Platform a commission of 2% of the amount of each paid sale. The rate is the same in the my.onim.app workspace and in the Onim Telegram workspace (@onimappbot). No commission is charged for 7 calendar days from the date of the Seller’s first sale paid by a buyer in the relevant workspace (the grace period). If the first paid sale is refunded, disputed or cancelled on the Platform, the grace period runs from the next paid sale that has not been refunded. An individual rate agreed with the Seller applies instead of the standard rate, and the grace period does not cancel it.

A sale accepted through the Platform is an order placed by a buyer through the storefront, a bot, a website or another channel connected to the Platform, where payment for it has been confirmed on the Platform by any means: a recognised and accepted receipt, a payment status from Kaspi Pay or another payment service, or the Seller marking the order as paid (including payment in cash or by transfer outside the Platform). This applies even though the money goes directly to the Seller. The commission is calculated on the full payment amount of the sale recorded on the Platform, in the currency of the sale. No commission is charged on orders that the Seller enters in the workspace manually without payment through the Platform (an order created by the Seller rather than placed by a buyer through a Platform channel). In the my.onim.app workspace, an order that the buyer placed through the storefront, a bot or a booking page and that the Seller has marked as paid is subject to commission whatever the payment method, including cash on delivery. In the Telegram workspace, payment of the balance for a product granted through the Platform with deferred payment, which the Seller has marked in the workspace as received, is subject to commission whatever the payment method.

The Seller’s move to the my.onim.app workspace takes place on the date when the Platform switches that Seller’s bot and/or payment acceptance to my.onim.app. The Platform notifies the Seller of the date of the move at least 7 calendar days in advance (through @onimappbot, the workspace or the account email). The move does not change the commission rate. Each sale is subject to commission only once, in the workspace where it was accepted.

If a sale is refunded, disputed (chargeback) or cancelled and this is recorded on the Platform (including where the receipt was forged, confirmed in error or confirmed by someone other than the Seller), no commission is charged on it and any commission already accrued is reversed; if a commission invoice has already been issued or paid, the amount is credited to the next invoice and is not returned in money. The Platform may reinstate the commission if the refund or cancellation is not confirmed. Commission that has been paid is not returned in money; amounts relating to later refunds are set off against subsequent invoices and other obligations of the Seller to the Platform. If, after the contract ends, the Seller has no remaining obligations to set off against, an overpaid amount is returned to the Seller’s bank account on the Seller’s written application.

The commission is paid against an invoice issued by the Platform, in the manner and within the time limits shown in the workspace (method, threshold, payment deadline); the invoice may be sent to the Kaspi app on the Seller’s phone number, and the payment is received into the account of AlmaStars Group. Until an invoice has been issued, accrued commission is not collected. If an issued invoice is not paid, the Platform may restrict features step by step after notifying the Seller in advance; orders already paid by buyers are still fulfilled.

Where a payment is accepted by bank card through the Platform’s acquiring, from the moment that method becomes technically available to the Seller, a commission of 5% (including the acquiring bank’s fee) is charged instead of the rate above; it is withheld at the moment of payment and also applies during the grace period (section 4.2).

The current rates and prices are published on the “Services and pricing” page (onim.app/services). A new rate enters into force no earlier than 7 calendar days after a new version is published and applies to sales paid after its effective date; sales paid before that date are subject to the rate of the version in force on the date of payment, and no invoice is issued for such sales at the new rate. Paid Platform plans purchased before 7 October 2026 remain in effect until the end of the paid period on their previous terms; new plans are not sold.

3.1. Tokens

A token is an internal accounting unit of prepayment for Platform services (an advance payment for Onim services). A token is not money, electronic money or a means of payment, cannot be transferred between users and is not redeemed by the Platform. When a marketplace order is paid, the Platform debits the customer’s tokens as payment for its own service and credits earned tokens to the marketplace provider in its own name under sections 3.3 and 3.5. Purchased tokens are spent only on Platform services: artificial intelligence features, receipt recognition, domains and the marketplace. Tokens earned under the partner programme and on the marketplace are accounted for separately: tokens earned on the marketplace are spent only on Platform services, and partner programme remuneration is withdrawn under section 3.5.

1 token corresponds to USD 0.01. The current top-up packages and exchange rate are published on the “Services and pricing” page and shown in the workspace when topping up; these terms contain no separate price table.

Prices in US dollars are stated as a conventional unit of price. A Seller from the Republic of Kazakhstan pays for tokens in tenge at the exchange rate shown in the invoice when it is issued, rounded up; a User from another country pays for tokens by the method and in the currency shown in the workspace at the time of payment. There is no recalculation after payment. Changes to package prices, the exchange rate and the cost of operations do not affect a balance already purchased and apply to operations after the change enters into force.

Payment for Platform services is received into the accounts of AlmaStars Group and is accepted only by the methods and to the payment details or invoice shown in the Platform workspace at the time of payment; the recipient is displayed in the banking app before payment. Payment to any other details does not discharge an obligation to the Platform. If a top-up payment is not confirmed automatically, support checks it against the receipt and either credits the tokens or returns the money.

The token prices of all paid operations (artificial intelligence features, receipt recognition and other operations) are published in one place: the “Onim prices” list in the my.onim.app workspace (Profile › Onim billing › Onim prices), which the “Services and pricing” page also links to. The prices in the list are the same for every Seller and every type of business; the price of an operation is shown in the workspace before it runs. Debits are visible in the token history; in case of discrepancy the Platform’s operations log prevails. Purchased and earned tokens do not expire; the Platform may introduce an expiry period only for tokens purchased after the relevant version enters into force.

Welcome, bonus and gift tokens (including package bonuses) have no monetary value and are neither refunded nor withdrawn; the Platform may decide which services they can be spent on.

Purchased tokens are payment for Platform services, and the Seller may use them with no time limit. Therefore money for purchased tokens, including unused ones, is not refunded, and tokens cannot be exchanged for money or withdrawn. Exceptions: cases expressly provided for by law; an erroneous payment; a duplicate payment of the same invoice or package. The Platform refunds an erroneous or duplicate payment on application to support, by the same method to the payer’s details, up to the unspent balance of the tokens from that payment; those tokens are cancelled. Welcome, bonus and gift tokens are never refunded. A refund is a return of prepayment for services not rendered, not a redemption of tokens. Where payment for a package that includes bonus tokens is refunded or disputed, the amount to be refunded and the number of tokens to be cancelled are calculated pro rata: the value of one token of the package equals the amount paid for the package divided by the total number of tokens in the package, including bonus tokens. If a token payment is refunded or disputed with the payment provider, the tokens are cancelled in proportion to the refunded amount; if they have already been spent, a debt arises.

The Platform corrects erroneous debits (a failure, a wrong price) by returning excess tokens or charging the shortfall at the actual cost, with a note in the history. The Seller may dispute a debit through support; the Platform checks it against the operations log. If an operation ended in a technical error of the Platform and tokens were debited, the Platform returns them on request. Compensation is made in tokens unless the law of the Republic of Kazakhstan, including consumer protection law, provides otherwise.

Some operations are performed even when the balance is insufficient (automatic receipt recognition, delivery to the buyer, reversal of a top-up after the tokens were spent), so the balance may become negative. A negative balance is the Seller’s debt to the Platform for services rendered (1 token = USD 0.01); it is repaid from subsequent top-ups and earned tokens, and the Platform may set it off against amounts payable and restrict AI features until it is repaid.

When the token balance is zero, only artificial intelligence features are paused. Payment acceptance, granting access and renewal of the Seller’s customers’ subscriptions do not stop when the balance is zero, in the my.onim.app workspace and in the Telegram workspace alike. In the Telegram workspace the Seller confirms receipts manually during that time; in the my.onim.app workspace automatic receipt recognition continues and the balance may become negative (see the previous paragraph).

3.2. Domains

In the workspace where domain purchase is available, the Platform registers a domain at the Seller’s request with Cloudflare Registrar in its own name: the Platform is the registrant and administrator of the domain, and the registrant’s details in WHOIS are hidden. The Seller receives the right to use the domain for the Seller’s website on the Platform for as long as renewal is paid and the offer is complied with; payment in tokens covers registration and use, not a transfer of rights to the domain. Only the domain zones listed in the workspace are available.

The price of a domain consists of the registrar’s price and the Platform’s service fee and is shown in tokens before purchase. If the registrar refuses (the domain is taken, the price has changed, the registration is not accepted, the service is unavailable), the tokens are returned automatically. Payment for a registered domain and for a completed renewal is not refundable. Renewal: the Platform sends a reminder, as a rule 30 days in advance, and debits tokens 7 days before the end of the paid period; not receiving the reminder does not release the Seller from the obligation to keep enough tokens for renewal and to monitor the registration period; if the registrar’s price changes, the Platform may change the renewal price, stating it before the debit.

If the renewal is not paid on time (there are not enough tokens on the debit date), the Platform turns off auto-renewal of the domain; when the paid period ends, the domain may expire, stop working and be lost. The Platform does not renew the domain at its own expense and is not liable for the consequences of its expiry. After the balance is topped up, the Platform may resume renewal at the Seller’s request while the registrar allows it; recovery of an expired domain is not guaranteed. Where the account is deleted or blocked, the Platform may turn off auto-renewal and disconnect the domain from the website immediately. If nobody has signed in to the account for the period stated in the workspace, the Platform may turn off auto-renewal of the purchased domain; the domain stays connected to the website until the end of the paid period.

On the Seller’s written request, the Platform transfers the domain to the Seller under the rules of the registrar and the registry, provided that all of the following are met: at least 60 days have passed since the domain was registered; the paid registration period has not expired; the Seller has no debt to the Platform; there are no open complaints and no registry restrictions on transfer. The transfer fee is 1,000 tokens and is debited when the request is submitted; if the transfer does not take place for reasons beyond the Seller’s control, the fee is returned to the balance. The Platform completes its part of the transfer within 10 business days of a request that meets these conditions; the registrar’s and the registry’s processing times are not included. After the transfer, the Seller is responsible for renewing and configuring the domain.

By choosing a domain name and placing materials on a purchased or connected domain, the Seller warrants that they do not infringe the rights of third parties (trademarks, trade names, personal names) and do not mislead anyone about a connection with another person. The Platform may refuse to register a name without giving reasons and, upon a rights holder’s complaint, a registrar’s or authority’s demand, or in case of fraud or prohibited content, may suspend, disconnect or withdraw the domain and refuse to transfer it, without refunding tokens and with the Seller reimbursing the costs.

A domain of the Seller’s own connected through DNS belongs to the Seller; the Seller is responsible for its renewal, for keeping its DNS records and for the rights to it, and is liable to buyers for the consequences of letting it expire. The Platform shows the Seller’s website on such a domain and redirects onim.app/<username> to it only while the domain points to the Platform, and may disconnect the domain and the redirect if it no longer points to the Platform, has expired or has passed to a third party.

3.3. Marketplace of templates and specialists

The Platform provides the venue, token accounting, holding of the customer’s tokens until the work is accepted, and dispute resolution. The customer’s tokens debited for an order are payment for the Platform’s service of arranging the order on the marketplace; the customer’s money and tokens are not passed to the marketplace provider. The Platform credits the marketplace provider’s remuneration (the order price less the Platform’s commission) in its own name as earned tokens; they are spent only on Platform services within Onim and are not withdrawn in money (section 3.5). Quality, deadlines and rights to the result are governed by the order between the customer and the marketplace provider; the Platform is not the performer, the seller of the template or a guarantor of the result. Settlements are made in tokens only; a paid listing is priced from 100 to 10,000,000 tokens, and a template may be free. Until an order is paid, contact details in the parties’ messages are hidden; paying for an order outside the Platform is prohibited, and the Platform may warn the marketplace provider and, if it happens again, remove them from the storefront without compensation.

The Platform’s commission is 20% of the order price (template or service) and is withheld from the amount due to the marketplace provider; the rate is changed only by a new version of the offer.

Tokens for an order are held until the work is accepted. If the customer neither accepts the work nor opens a dispute within 3 days after delivery, the order is deemed accepted (the delivery notice arrives in the workspace). Disputes are resolved by Platform support on the basis of materials within the Platform (messages and the delivered result), and support may request materials from the parties; the support decision is final within the Platform, and the parties may take the dispute to court. The Platform’s liability for an order is limited to the order amount in tokens.

The marketplace provider warrants that they hold the rights to the template and all its materials and that the service is lawful, and is personally liable to the customer and third parties. A purchased template is for the customer’s own use; reselling copies is prohibited. Support may refund payment for a template if it does not match its description or upon a confirmed legal claim, reversing the marketplace provider’s earnings. Rights to the result of a service are determined by the order; unless the order states otherwise, the customer may use the result for their business.

The Platform may determine the amount earned on the basis of the actually paid value of the tokens used for the order (bonus tokens do not increase the amount earned), prohibit payment for orders with bonus tokens, cancel or reduce the marketplace provider’s earnings, including into a negative balance, where the customer’s token purchase is refunded or disputed or there are signs of collusion, fictitious orders or money laundering, suspend use of the earnings and request documents.

3.4. Partner programme

A participant who invites a new Seller via their link onim.app/r/<username> or code receives 50% of the Platform’s commission on that invited Seller’s sales in the my.onim.app workspace (for card payments through the Platform’s acquiring: 50% of the part of the acquiring commission equal to the commission rate) for 12 months from the date of linking. The programme has a single level: remuneration accrues only for a directly invited Seller; it is not an investment or income for recruiting participants. The invited Seller’s commission does not change because of the programme.

Only an account created no more than 7 days earlier and without paid sales can be linked; the first inviter counts and the link is not changed afterwards; inviting oneself and mutual invitations are prohibited. The Platform may remove a link in case of abuse.

Remuneration is credited in tokens and only on the sales commission; it does not accrue on token purchases, the marketplace commission or other payments. Remuneration on commission that the Platform has not yet received (not paid by the invited Seller against an invoice or not withheld by the provider) is pending: it is not available for withdrawal or spending until the invited Seller pays that commission, and it is cancelled if the commission has not been received, has been refunded or the sale proved fictitious. Remuneration is reduced on a refund, chargeback, cancellation of a sale or removal of the paid mark.

Remuneration becomes available for withdrawal no earlier than 30 calendar days after the Platform has received the commission on which it was accrued (the hold); the Platform may extend the hold in case of a dispute, refund, chargeback or suspected abuse. If remuneration is reversed after it has been paid out, the participant owes a debt, which the Platform may set off against future accruals and demand to be repaid.

3.5. Payouts of earnings

Tokens earned on the marketplace are spent only on Platform services within Onim (AI features, domains, marketplace orders) and are not withdrawn in money. Only partner programme remuneration is withdrawn in money, after manual review and subject to any documents the Platform requests (a contract, a certificate of completed work, the recipient’s invoice); the Platform may restrict withdrawal until the review is complete. The Platform makes such payouts as remuneration from its own funds, not as a transfer of money from one user to another.

Withdrawal is available to participants who have passed the Platform’s review, on a request for at least 10,000 tokens. 5% of the amount of the request is withheld; this deduction covers the Platform’s bank costs of the transfer. The amount payable is calculated at 1 token = USD 0.01. Residents of the Republic of Kazakhstan registered as a sole proprietorship or limited liability partnership (LLP) are paid in tenge at the official exchange rate of the National Bank of the Republic of Kazakhstan on the date the request is confirmed, to the current account of the sole proprietorship or LLP with a bank in the Republic of Kazakhstan. Participants from other countries are paid in US dollars by a method agreed with the participant. The Platform reviews a request within 5 business days (extended for the time needed to request documents) and transfers the payout within 10 business days after the request is confirmed. The Platform does not control the fees of the recipient’s bank and of intermediary banks under their tariffs. The Platform may change or end the partner programme in accordance with section 15; remuneration accrued before the end date is accounted for and withdrawn under this section. A balance below the withdrawal threshold is not paid out in money and remains available for paying for Platform services, including when the participant closes the account. If the programme is ended by the Platform’s decision, the procedure for paying out the balance to verified participants is stated in the notice of termination.

The participant is responsible for the accuracy of the payment details; a payout to the details provided by the participant is deemed made. Changing payment details requires a new review and may delay a payout. Taxes on remuneration received are calculated and paid by the recipient, including under the law of the recipient’s country; the Platform withholds tax at source only where the law of the Republic of Kazakhstan expressly requires it.

3.6. Partner services

In the “Apps” section of the workspace, the Platform shows third-party services that run on their own websites (for example, Shopify, Mailchimp, Shippo and 360dialog). The Seller reaches a service through a Platform link. The Platform may take part in the partner programmes of these services and receive a reward from them for new customers; the service’s price and terms for the Seller do not change because of this and are set by the service itself. The Seller enters into the agreement for a third-party service with that service: the Platform is not a party to it and is not responsible for the service’s operation, prices or terms. The list of such services is published on the Onim partners page.

4. Accepting payments from buyers

The Platform provides the Seller with tools for accepting payment to the Seller’s own payment details and payment services. The following methods are available (depending on what the Seller has connected):

  • Transfer to the Seller’s payment details with a receipt. The buyer transfers the amount to the Seller’s details through their banking app and sends the receipt.
  • An invoice in the Kaspi app from the Seller’s Kaspi Pay, where the Seller has connected the cashier themselves (section 4.1). Tenge only.
  • Another payment service connected by the Seller with the Seller’s own keys in the “Apps” section (for example, the Seller’s own PayPal account; section 4.3).

With these methods the money goes directly to the Seller: the Platform does not receive or hold buyers’ money for Sellers’ products, does not take part in settlements between the Seller and the buyer and is not a payment agent for them. Payment for tokens, domains, commission and other Platform services is payment for Onim’s own services, and that money is received into the accounts of AlmaStars Group. The payment process is described in full on the “Payment procedure” page.

Receipt recognition is an automatic check of the image using AI: the Platform compares the amount, the date, the transaction number and, where technically possible, the recipient with the order and with receipts accepted earlier, and records the receipt sent and the result of its check. The Platform has no access to the Seller’s bank account, does not receive confirmation of the transfer from the bank and does not guarantee that a receipt is genuine or that the money has arrived; confirmation from a payment service exists only for payment by a Kaspi Pay invoice or through a payment service connected by the Seller in the “Apps” section. The Seller reconciles incoming payments with their own bank statement.

In the Telegram workspace the Seller turns automatic receipt confirmation on and off in the workspace. In the my.onim.app workspace there is no such switch: a receipt that passes the automatic check is accepted automatically, and a receipt for which the check is not confident or was not performed goes to the Seller for manual review. Access granted automatically or by pressing “Approve” does not confirm that the money has arrived. The risk of a forged, altered or someone else’s receipt under automatic confirmation is borne by the Seller; the Platform does not compensate the value of the product granted. If the Seller has cancelled such a sale on the Platform, no commission is charged on it (section 3), and the Platform may return the tokens debited for recognising that receipt.

The Platform may check transaction numbers and signs of receipt reuse across all Platform workspaces, without disclosing to a Seller the data of another Seller or of that Seller’s buyer, may refuse automatic confirmation and may restrict payment by a buyer found to have used forged receipts in all workspaces.

Automatic confirmation of a Kaspi invoice depends on Kaspi working and on the Seller’s connection and is not guaranteed: if Kaspi fails, the app is updated, the cashier is disconnected or payment is made after the invoice has expired, confirmation may be delayed or may not arrive. In that case the buyer sends a receipt and the Seller performs the check. The invoice validity period is stated in the invoice itself.

A price in a currency other than the Seller’s currency marked with “≈” is for reference only: it is calculated by the Platform at an exchange rate from public sources, rounded up and with a margin for exchange rate fluctuations, and is not an offer. The binding amount is the amount in the payment currency that the buyer sees in the invoice, the payment details or the bot before paying, or the price set by the Seller in that currency.

The decision to grant a product before full payment, the price, the payment deadline and the risk of non-payment rest with the Seller. The Platform does not provide instalments or credit, does not collect debts and does not guarantee payment. On the Seller’s instructions and on the basis of data entered by the Seller, the Platform sends the buyer, in the Seller’s name, an invoice for the balance and a reminder; the Seller is responsible for the correctness of the amount and of the debt itself and closes an erroneous debt, or one paid outside the Platform, before the reminder date.

The Seller warrants that they are entitled to carry on the business for which they use the Platform (as a sole proprietor, a legal entity or in another way permitted by the law of the Seller’s country). The payment details for accepting payment must belong to the Seller; accounts and cards of third parties may not be used; the Seller is responsible for their compliance with the law and with the rules of the Seller’s bank, calculates and pays taxes personally and personally issues the buyer a fiscal receipt or other document where the law requires it. The Platform does not issue fiscal receipts for the Seller, is not the Seller’s tax agent and does not give tax advice. Blocking of the Seller’s account by a bank or by Kaspi is the Seller’s risk. The Platform may request documents on the Seller’s status and disable payment to personal details for that Seller.

The Platform issues payment documents and closing documents for its services in the manner and forms established by the law of the Republic of Kazakhstan; a Seller that is a sole proprietorship or LLP sends a request to support@onim.app stating the period and its details.

4.1. Connecting Kaspi Pay (cashier)

Connection is voluntary. The Seller adds, in the Seller’s own Kaspi Pay, an employee with the “Cashier” role on a phone number the Seller controls, enters the SMS code and thereby instructs the Platform, in the Seller’s name, to issue invoices to buyers, cancel unpaid invoices, check their status and whether a buyer’s number has Kaspi, and to store the session data in encrypted form. Through the cashier the Platform does not make refunds or transfers, does not withdraw funds and does not see the balance; the Seller makes refunds personally in Kaspi Pay. The Platform may suspend or disconnect the cashier at any time, including in case of failures, suspected compromise of the session or a demand from Kaspi, and offer buyers payment by transfer with a receipt. The Seller may disconnect the cashier at any time by removing the employee in Kaspi Pay or disconnecting it in the workspace.

The connection works through an interface that Kaspi does not provide as an official API for third-party services. Kaspi may change it, restrict it or block the employee or the merchant account. The Seller is responsible for the connection complying with the Seller’s own agreement with Kaspi; such restrictions are not a breach by the Platform.

4.2. Card payments through the Platform’s payment provider

This section takes effect for a Seller from the moment card payment is enabled for that Seller. The Seller’s share is credited by the provider to the Seller’s account at the moment of payment, and the Platform’s commission is withheld by split; the Seller remains the seller under the contract with the buyer. Refunds are processed through the provider out of the Seller’s share.

The Seller is responsible for refunds and chargebacks on the Seller’s sales: the disputed amount in respect of the Seller’s share, and the bank’s or provider’s fees and penalties for the dispute. If the amount could not be recovered from the Seller’s share automatically, the Seller owes a debt to the Platform; the Platform may request a reversal of the share from the provider, set off the debt against any amounts payable and future receipts, issue an invoice, disable card payment for the Seller and establish a reserve at the provider’s request or if disputes increase. The Seller provides evidence for a dispute within the time stated in the request. If the dispute is won and the provider returns the funds, the Platform restores the Seller’s share once the funds are received; the Platform does not reimburse the provider’s dispute fee unless the provider has returned it.

There is no classic chargeback for transfers and Kaspi invoices, but the buyer may contact their bank. At the request of the Platform or the bank, the Seller provides confirmation that the service was rendered.

4.3. Payment through the Seller’s own payment account and suppliers

Where a buyer pays through a payment account the Seller has connected (for example, PayPal), the payment goes directly to the Seller and the Platform does not receive or hold it. The Seller is the merchant of record and is solely responsible for the goods, delivery, returns, buyer disputes, chargebacks and reversals with that service and their fees, taxes and charges in the buyer’s country (including VAT and sales tax), the Seller’s own policies and compliance with the rules of that service; the Platform does not represent the Seller in such disputes. On the Seller’s instructions the Platform may pass order and shipment data (including tracking numbers) to that payment service and to a supplier available on the Platform from which the Seller sells goods. An order to a supplier is placed in the Seller’s name and at the Seller’s expense; if the Platform pays a supplier for the Seller’s order from its own funds or balance, that amount is the Seller’s debt to the Platform, which the Platform may invoice or set off under section 13. The Platform may suspend the storefront or disconnect the payment account in case of complaints, disputes, breaches or a demand from the payment service. The Seller sells only to the countries shown on the storefront and complies with the mandatory consumer protection rules of the buyer’s country.

4.4. Payment only through Onim

Payment that bypasses Onim is prohibited. Buyers pay for products the Seller sells with the Platform only by the methods in this section, against an order or invoice created on the Platform. The Seller must not direct buyers to pay around the Platform: post links to third-party checkouts and payment pages (for example PayPal, Stripe, Kaspi, T-Bank, Revolut) in the bot, chats, broadcasts, chains, posts, on the website, in product descriptions or buttons, or ask buyers to transfer money to a card, phone number or account outside a Platform order. The Platform checks for such links and requests automatically, does not save them, warns the Seller before such a message is sent in a chat and records every attempt.

In case of a breach the Platform warns the Seller before a chat message is sent. If the Seller sends such a message to a buyer for the third time within 30 days after the warning, the Platform’s automated check (including with the help of AI) reviews the chat and, if it confirms payment that bypasses Onim, sends the Seller a final warning with an explanation in the workspace and through @onimappbot. A case that the check does not find to be payment bypassing Onim is not counted. The check runs at the Platform’s expense; the Seller’s tokens are not charged. Onim may suspend the Seller’s sales and broadcasts, as well as sending links in chats, for up to 30 days depending on the severity of the breach; the decision is made by a member of Onim staff. Access and subscriptions of buyers who have already paid, access to the workspace and the bot remain in place. The Seller may appeal the suspension through support (section 13). The Seller gives consent to this clause on registration by accepting the offer (section 2).

5. Personal data

For the personal data of Sellers themselves (account, payment for Platform services), Onim is the owner and operator of the data. By accepting the offer, the Seller (and the Seller’s representative) consents to Onim collecting and processing their personal data: account data, seller details, payment data and correspondence with support. Purposes: performance of the offer, settlements, fraud prevention, dispute resolution and compliance with the law. The consent covers cross-border transfer to the processors listed in the Privacy Policy, including outside the Republic of Kazakhstan. The Seller agrees that the seller details they provide (full name or business name, IIN/BIN, address, email, phone) are shown to buyers and may be passed to a buyer, a bank, a payment service and authorised bodies in the cases provided for by the offer and the law. The consent is valid for the term of the contract and for the period during which records must be kept by law; withdrawal of consent does not prevent processing required for settlements, disputes and compliance with the law.

For the data of the Seller’s buyers and customers (correspondence, receipts, orders, forms), the Seller is the owner and operator of the data, and Onim processes it on the Seller’s instructions in order to run the service (storage, accepting orders and payments, notifications, AI replies, apps connected by the Seller). In addition, Onim processes this data for its own purposes and as an independent operator to the extent necessary for fraud prevention (including matching transaction numbers and signs of forged receipts across all Platform workspaces), handling disputes with banks and payment services, protecting its rights and complying with the law and with demands of authorised bodies. The grounds, categories of data and retention periods for these purposes are set out in the Privacy Policy. When obtaining consent from their customers, the Seller informs them of these purposes too. The Seller obtains their customers’ consent to processing, including to transfer to the Platform and its processors and to cross-border transfer, publishes their own privacy policy and responds to customers’ requests. Onim forwards requests it receives to the Seller and may fulfil them itself if the Seller has not responded within a reasonable time or where the law requires it. The Seller compensates Onim for losses from claims caused by the Seller lacking a lawful basis for processing.

The main processing and storage of data take place on the cloud infrastructure of Cloudflare, Inc., whose servers may be located outside the Republic of Kazakhstan; cross-border transfer is carried out on the basis of the data subject’s consent. A copy of the personal data of citizens of the Republic of Kazakhstan is kept on a server in the Republic of Kazakhstan (PS Cloud Services, Almaty). The list of processors, including AI services, retention periods and the deletion procedure are set out in the Privacy Policy.

If the Seller has connected the “Meta Pixel” app or another advertising or analytics integration, the Seller acts as the operator of the data transferred, discloses the integration in their own policy, obtains buyers’ consent where the law requires it and accepts the terms of the relevant service; the Platform is not responsible for how that service or the Seller uses the data.

The Platform may provide a bank, a payment service and the Seller with transaction information, the receipt and the order correspondence to the extent needed to resolve a dispute. Data is disclosed to authorised bodies of the Republic of Kazakhstan upon a lawful request; unless the law prohibits it, the Platform notifies the Seller of the request. Platform staff access the data of the Seller’s workspace and buyers only for support at the Seller’s request, investigation of fraud and failures, protection of buyers and compliance with the law.

On a sale of the Seller’s business or a change of seller, the buyers’ personal data base is transferred to the new person only where there is a lawful basis under personal data law and with notice to buyers; the Seller is responsible for that basis.

6. Obligations of the Platform

  • Take reasonable measures to keep the services available. The availability target is 99% of the time per calendar month; it is a target, not a guaranteed service level, and failing to meet it does not in itself give a right to compensation (section 14)
  • Publish changes to the terms in accordance with section 15
  • Process data in accordance with the Privacy Policy; notify affected Sellers of a data breach without undue delay, and the authorised body in the manner and within the time limits established by law
  • Provide technical support through support@onim.app and @onimsupport

7. Obligations of the Seller

  • Provide accurate information at registration. Enter accurate seller details on the Platform (full name or business name, IIN/BIN or, for a Seller from another country, a registration or tax number of that country; email, phone) and publish their own terms of sale and refund. Seller details are required for connecting the Seller’s own domain (including one bought on the Platform) and for the “Hide Onim” mode: without them the Platform does not turn these features on. For other features, including accepting payments, the Seller enters seller details at their discretion, and the Platform reminds the Seller in the workspace. If seller details are not entered, the Seller is still the seller for the buyer, and the Platform may pass the Seller’s contact details as the seller to the buyer at the buyer’s request, to the extent needed to bring a claim. The Seller is responsible for the accuracy of the details and reimburses the Platform for costs caused by false details or details of another person. If the details entered are questionable, the Platform may suspend acceptance of new payments and the own domain, hide the storefront or disable the “Hide Onim” mode; orders already paid are still fulfilled
  • Turn on the “Hide Onim” mode only after full seller details have been entered, the Seller’s own domain has been connected and the Seller’s offer, refund terms and policy have been published; on such a website the Seller appears to the buyer as the seller. The Platform may disable the mode and show Onim again at any time without notice
  • Comply with the law of the Republic of Kazakhstan, of the Seller’s country and of the buyer’s country, and with the rules of the sales channels and services used (including Telegram and Meta)
  • When using the YouTube features of the Platform (connecting the Seller’s own YouTube channel and publishing videos), comply with the YouTube Terms of Service: by using these features, the Seller agrees to be bound by them. These features use YouTube API Services; what data the Platform receives and how it stores it is described in section 10 of the Privacy Policy, and Google’s processing of data in the Google Privacy Policy
  • Set the prices, composition and description of products and be responsible for their accuracy, including any “old” (struck-through) price and the size of a discount; the Platform does not check them and may hide a struck-through price or discount. A change of price, composition or term does not affect those who paid before the change
  • Publish only genuine reviews from real buyers with their consent and truthful figures (number of students, ratings, results); before publishing, replace or remove sample content inserted by the website builder. The Platform may hide a review or figure upon a complaint
  • Be responsible for the actions of staff the Seller appoints (manager, practitioner, curator) in the workspace as for the Seller’s own, and revoke the access of staff who leave. Calculation of staff and co-author shares in the workspace is for reference only: the Seller pays them, and the Platform is not their employer or tax agent
  • Send marketing messages (broadcasts, sequences, promotions) only to buyers who have consented to them, and comply with advertising law and channel rules
  • Record in the workspace payments and access granted outside the Platform (cash, an agreement to pay later, a gift); without such a record the system may treat the buyer as having no right of access and remove them when the term ends
  • Where the Seller runs their own referral programme for customers and bloggers, the Seller sets its terms and pays the rewards from the Seller’s own funds; the Platform only keeps records, does not accept money and is not liable for non-payment, and may disable the tool for a Seller who does not pay

8. Granting access to buyers

Payment is deemed confirmed only after one of the following: a recognised and accepted receipt, a payment status from Kaspi Pay or another payment service, or manual confirmation by the Seller. Access is deemed granted when the bot has sent an invitation link or opened the product (access page, booking, order). Messages from an automatic assistant in the chat are not confirmation of payment or access.

Once payment is confirmed, access is granted automatically; if the receipt has gone to manual review, access is granted after the Seller has reviewed it. The Seller must decide on a receipt under manual review within 24 hours of its arrival (section 9). The Platform reminds the Seller of pending receipts and does not verify that money has arrived.

If the buyer’s access is still valid, the Platform or the Seller’s bot sends the invitation link again; the link may have a validity period. Access to a channel or group can be restored only while the channel exists and the Seller’s bot remains an administrator in it. The Telegram channel, group and subscribers belong to the Seller; if the channel has been deleted or the Seller’s bot has been blocked or removed from the channel, access and refunds are decided by the Seller.

Access is valid while the buyer has a right to it: the paid term is running and there has been no refund, cancellation or chargeback. After that, the Seller, or the Platform on the Seller’s instructions, may remove the buyer from the channel and close access without separate notice; on a partial refund access is kept unless the Seller decides otherwise. Subscriptions do not renew automatically and the Platform does not charge the buyer’s card: renewal is a new payment. When the term ends, the Platform may send the buyer a reminder in the Seller’s name and end access if renewal is not confirmed. The Seller may set a separate price for buyers returning after their subscription has ended.

“Lifetime” access means access for as long as the Seller runs the product and uses the Platform. Changing, closing or deleting a product does not reduce what has already been paid for: the Seller provides the paid term or volume in full or refunds the unprovided part and warns buyers with active access in advance. A Seller who sells “lifetime” access states on the product card that access lasts while the Seller runs the product and how the refund for the unprovided part is calculated if the product is closed; the Platform may show this note to the buyer next to the price.

The invitation link is personal and may not be passed on. The Platform applies technical measures to protect paid content but does not guarantee that buyers will not copy it and is not obliged to search for leaks.

Physical goods: dispatch, packaging, delivery times, safety in transit, replacement and returns are the Seller’s responsibility under the Seller’s terms and the law of the buyer’s country, including the cost of return shipping for defective goods. The Platform passes the order data to the Seller and to the supplier the Seller has connected, and is not a carrier or custodian of the goods. Bookings and services: the Seller is the service provider; the time, place, rescheduling and cancellation procedure, no-show rules and what happens to a prepayment are set by the Seller, and where the Seller has not set them, the law of the Republic of Kazakhstan applies. The Platform does not guarantee that the service provider will attend and is not liable for the quality or consequences of the service.

9. Refunds and duplicate payments

The decision on a refund for a Seller’s product, and the refund itself, are made by the Seller from the amounts the Seller received, by the same payment method, in the amount and within the time limits provided by the consumer protection law of the Republic of Kazakhstan and, to the extent not contrary to the law, by the Seller’s own terms. The Seller’s terms may not restrict consumer rights established by law; any such terms do not apply. The “Refund payment” button in the bot and the period during which it is shown are a technical setting of the Seller and do not shorten the time limits the law gives the buyer. The Platform does not receive the buyer’s money and does not make refunds from its own funds. If an order was paid through the Seller’s payment service that supports refunds (for example, PayPal), pressing “Reject and refund” in the my.onim.app workspace passes the Seller’s refund instruction to that service, and the money is refunded from the Seller’s account; for a transfer or a Kaspi Pay invoice, the Seller makes the refund personally. Refunds for Platform services (tokens, domains, marketplace) are governed by section 3; the procedure for buyers is set out in the Refund terms.

A “refund”, “Refunded” or “Reject and refund” mark in the workspace is a statement by the Seller. In the Telegram workspace the “refund” mark is for record-keeping only: it does not transfer money, does not notify the buyer and does not by itself close access. In the my.onim.app workspace, pressing “Reject and refund” on a paid order cancels the order and immediately ends access to the product on the Platform; the Seller removes the buyer from the Telegram channel. The Seller informs the buyer of the refusal and the refund method, is responsible for the refund actually being made and, at the Platform’s request, provides confirmation (a receipt or a statement). If the refund is not confirmed, the Platform may reinstate the commission and the reversed partner share, restrict the Seller’s refusal function and pass the seller’s details to the buyer.

A duplicate or erroneous payment (two payments for one order, payment by another person via the same link, payment after a payment already confirmed) is not a new purchase unless the buyer and the Seller agree to count it towards a renewal; the Seller refunds it by the same method within the time limit stated below. The Seller refunds an overpayment above the price at the buyer’s request or, with the buyer’s consent, credits it; the Seller may treat an underpayment as an advance. The Platform may mark a payment as a likely duplicate, inform the Seller and the buyer and require the Seller to make a refund. A payment in another currency is refunded in the amount actually paid, in the payment currency; the buyer’s bank fees and exchange rate differences are not compensated unless the law requires otherwise.

The Seller’s time limits: decide on a receipt under manual review within 24 hours of its arrival; reply to a buyer’s refund request, including one forwarded by Onim support, within 3 business days; refund the money within 10 calendar days after the Seller has agreed to the refund (including by pressing “Reject and refund”), unless the law sets a shorter period; refund an erroneous or duplicate payment within 5 business days of the Seller learning of it from the buyer’s request or a message from the Platform. These time limits do not shorten the time limits and rights the law gives the buyer. Onim support accepts buyers’ requests, forwards them to the Seller and helps with payment information.

If the Seller misses a time limit, the Platform may remind the Seller, show the pending receipt or request in Onim support and suspend the Seller’s acceptance of new payments until a decision is made; if the Seller does not refund what is due, the Platform may also suspend the Seller’s payouts, hide the storefront, pass the Seller’s details as the seller to the buyer and withhold amounts due to the Seller from the Platform for a refund to the buyer. The Platform may grant a buyer access without confirmation of payment only by a decision of support; such access is granted at the Seller’s expense and risk.

Disputes about a purchase made by a minor are resolved by the Seller in accordance with the law; the Platform does not verify buyers’ age.

10. AI assistant and AI materials

The AI assistant is a software tool of the Seller. It may be turned on in the workspace by default; the Seller may turn it off at any time or switch it to draft mode (in the my.onim.app workspace). The assistant replies to buyers in the name and in the interests of the Seller, based on the data the Seller has entered (products, prices, promo codes, knowledge base, settings). The Seller is responsible to the buyer for the assistant’s replies as for the replies of the Seller’s employee, and must check their own data and settings.

In their terms of sale and policy, the Seller informs buyers that automatic AI assistants may reply in the chat and that their messages are processed by AI services, including outside the Republic of Kazakhstan, and complies with legal requirements to inform users that they are interacting with AI systems. The Platform may add a note to the assistant’s messages that the reply is automatic.

The assistant’s replies are generated automatically and may contain inaccuracies. The Platform is not liable to the Seller or buyers for promises made by the assistant (a discount, instalments, a refund, a deadline, a guarantee, a result) that are not in the Seller’s published terms, and does not fulfil them. The terms of a transaction are determined by the product card, the invoice and the Seller’s published terms. The Seller, as the seller, is responsible to the buyer for information given by the assistant, in the manner and within the limits established by consumer protection law. This clause does not restrict consumer rights established by law. The assistant does not give medical, psychological, legal, financial or religious advice as a professional; the Seller may not configure it to provide services requiring a licence without that licence and is responsible for the content of the knowledge base.

The Platform may (but is not obliged to) restrict, delay, switch to draft or replace with a neutral phrase assistant replies that contain promises of monetary terms or prohibited topics, and temporarily turn off a Seller’s assistant upon complaints.

Texts, images, websites, posts and documents suggested by the Platform’s AI are drafts: the Seller checks them before publishing and is responsible for what is published as their own. Seller documents (offer, refund terms, policy) prepared with a Platform tool are a template based on the Seller’s data, not legal advice; the Seller checks, completes and publishes them in the Seller’s own name and is responsible for their completeness. Automatic publishing and automatic replies in social networks are turned on by the Seller; these messages are deemed the Seller’s messages, and the Platform may stop automatic publishing upon complaints.

The Seller may generate images, video and voice of real people only with their consent; only the Seller’s own voice, or a voice with the written consent of its owner, may be cloned. AI-generated content is labelled where the law or the platform requires it.

11. Prohibited goods and responsibility for content

The following, among others, may not be sold through the Platform: gambling and betting; adult (18+) content; financial and investment services without a licence (trading “signals”, asset management, pyramid schemes); promises or guarantees of income, earnings or results; medical services and medicines without a licence, dietary supplements with therapeutic claims; weapons, narcotic and other prohibited substances; counterfeit goods; accepting to the Seller’s own payment details payments for goods and services of third parties or in the interests of third parties (transit payments); lotteries, prize draws and other games with paid participation; alcohol, tobacco and nicotine products, electronic smoking systems and their liquids where their distance sale is prohibited or restricted by law; personal data bases and services for obtaining them; forged documents and services for circumventing the law; any goods and services prohibited by the law of the Republic of Kazakhstan, of the Seller’s or the buyer’s country, or by the rules of a payment service or sales channel. The Seller is responsible for holding the necessary licences and permits.

The Platform does not pre-moderate every product. Where there are signs of a breach, the Platform may, without prior notice, remove a product, listing or storefront, suspend the Seller and preserve the data.

The Seller is responsible for the content of products, the storefront, reviews, advertising claims and all texts published in the Seller’s name, including those suggested by AI, and reimburses the Platform for confirmed costs, fines and losses from complaints, orders and lawsuits caused by the Seller’s content, products, documents and integrations; the Platform may withhold these amounts from payouts after notifying the Seller.

The address onim.app/<username> is provided to the Seller for the period of use; after a change of username or deletion of the website, the previous address may be assigned to another user after a period set by the Platform. Usernames that reproduce third-party trademarks, people’s names and brands without a right to them are prohibited; the Platform may withdraw such a username upon a justified complaint.

Blocking, restriction or deletion of the Seller’s bot, channel, group, phone number or account by third parties (Telegram, Meta, WhatsApp, Kaspi, banks, registrars) under their rules is not a breach by the Platform: lost profit is not compensated, commission on completed sales and spent tokens are not returned, and unspent tokens remain on the balance. The Platform may, but is not obliged to, temporarily route the Seller’s buyers through its own bot and may decline to do so where the block is due to content. The Seller pays a third-party provider’s services (for example, for a WhatsApp number) directly to that provider.

12. Intellectual property

The software, design, the Onim brand and the Platform’s catalog templates belong to Onim; the Seller receives a non-exclusive right to use them within the Platform for the period of use of the service. Rights to the Seller’s content remain with the Seller; the Seller grants the Platform a non-exclusive, royalty-free licence to store, process, reproduce, display and transmit the Seller’s content (including the name, logo and storefront materials) to the extent needed to run the service, including to display the Seller’s storefront and products in the Platform’s catalog and marketplace and in storefront examples, worldwide, for the period of use. The Seller may opt out of being shown in storefront examples by writing to support. After use ends, the licence continues in respect of backups and records the Platform keeps under the law and for disputes, for the period they are kept. The Seller warrants that they hold the rights to what they sell.

Complaints from rights holders are accepted at support@onim.app and must identify the work, the rights and the link. The Platform may temporarily hide the material, request a response from the Seller and block repeat infringers.

13. Suspension, withholding and set-off

The Platform may suspend the Seller fully or in part (payment acceptance, AI, the storefront, a domain, payouts, a specific channel) in case of: a breach of the offer or the law; signs of fraud or forged receipts; buyers’ complaints about not receiving what they paid for; a demand from an authorised body, a bank, a payment provider, Telegram or Meta; a threat to the security of the Platform or buyers; inaccurate seller details; payment that bypasses Onim (clause 4.4); non-payment under the offer; a prohibited product; and also where the Seller does not respond to requests from the Platform or buyers, does not decide on receipts or does not refund money within the time limits set by section 9 and, for requests from the Platform, within the period stated in the Platform’s notice. Where delay creates a risk for buyers or the Platform, suspension may take place without prior notice. Where there are signs of fraud, the Platform may freeze the account and payouts, preserve the data and give affected buyers contact details for their claims.

During a suspension, the Seller’s bot, storefront, website on the Seller’s own domain and workspace may not serve buyers or accept payments. Suspension does not release the Seller from obligations to buyers who have already paid. The Seller may ask for the grounds of a suspension and appeal it through support; unless the law prohibits it, the Platform states the grounds. For payment that bypasses Onim (clause 4.4) the decision on a suspension for up to 30 days is made by a member of Onim staff, not by the automated check.

The Platform may suspend payouts to a Seller, partner or marketplace provider during a review and until claims are settled, and set off against any amounts due to them from the Platform (earned tokens, payouts, future receipts under a split) debts from refunds and chargebacks, provider penalties, a negative token balance, unpaid commission and the Platform’s confirmed costs from claims relating to the Seller’s content.

Where a suspension was made in error through the Platform’s fault, the Platform restores access and returns the tokens and commission charged for the period of suspension; at the request of the Seller or a buyer, the Platform may extend buyers’ paid access by the period of the confirmed downtime.

14. Limitation of liability

The Platform is not liable for the content of the Seller’s products, the quality of the Seller’s goods and services or disputes between the Seller and buyers, nor for losses caused by the actions of buyers, other users and third-party services that the Platform has not engaged to perform the offer (Telegram, Meta, WhatsApp, Kaspi, banks, payment services, registrars), or by decisions of authorised bodies. The Platform may engage third parties to provide the services (hosting, AI services and other processors).

The Platform is liable to the Seller only for actual damage caused through the Platform’s fault and confirmed by documents. The Platform’s liability to the Seller does not exceed the total of the commission and token payments the Seller paid to the Platform in the 3 months before the event that caused the damage. The following are not compensated: lost profit; damage from forged, altered or someone else’s receipts approved by the Seller, including those accepted under automatic confirmation (section 4); damage from blocking, restriction or deletion of the Seller’s bot, channel, phone number, account or bank account by third parties (Telegram, Meta, banks, Kaspi and others; section 11). The limitations in this section apply to the extent permitted by law and do not apply to an intentional breach by the Platform. The Platform is liable to buyers in the manner and within the limits established by consumer protection law; the cap on liability in this section does not apply to buyers.

The following are not a breach or downtime through the Platform’s fault: scheduled maintenance; force majeure; failures, restrictions and rule changes of Cloudflare (hosting, databases, DNS, registrar), Telegram, Meta, WhatsApp, Kaspi, banks, payment services, registrars and AI providers; blocks and demands of authorities; actions of the Seller and the Seller’s buyers; a third-party service refusing to approve or review the Platform’s app. In the event of confirmed downtime through the Platform’s fault, the Platform may, at the request of the Seller or a buyer, extend paid access by the period of the downtime.

The Platform makes backups of its main databases; the scope and frequency of backups are determined by the Platform. In the event of a technical loss of data, the Platform may restore it from the latest available backup; changes made after it and data not included in it may be lost, and full recovery is not guaranteed. Token balances and payment records after a failure are restored from the Platform’s operations log and the Seller’s supporting documents. The Seller keeps their own copies of their content and customer records and reports any discrepancy in the token balance or payments after a failure to support.

15. Changes to the terms

The Platform may change the offer, the “Services and pricing” page and other documents. A new version is published on onim.app with an effective date no earlier than 7 calendar days after publication, except for changes required by law, a court, an authorised body, a bank or a payment provider, and changes that do not worsen the Seller’s position (including reductions of rates and prices and new services or features), which may take effect from publication or from the date stated in the new version; the Platform may additionally notify Sellers through the workspace, @onimappbot or email. The Seller reviews the current version on their own; the dates of publication and entry into force are stated at the beginning of the document. Continuing to use the services after the changes enter into force means agreement with them. A Seller who does not agree may withdraw from the contract before that date (section 16); withdrawal does not deprive the Seller of the right to a refund of money for purchased tokens in the cases set out in section 3.1, or of the right to withdraw partner programme remuneration under section 3.5. Changes to rates and prices do not apply to tokens, domains and periods already paid for. The Platform keeps previous versions and provides them on request.

The Platform may move the data of the Seller and the Seller’s buyers, subscriptions, terms, balances and settings between its workspaces (from the Telegram workspace to the my.onim.app workspace); the commission rate after a particular Seller is switched applies as set out in section 3. Discrepancies in subscription terms on transfer are resolved in favour of the buyer (the later date), unless otherwise confirmed.

The Platform may change the scope, interface and operation of features, disable individual features and integrations with third-party services, change AI and infrastructure providers, and move features between its workspaces. This is not a change to the offer unless it changes the rates and prices in section 3. If a paid feature is disabled, unspent tokens remain on the Seller’s balance; tokens for operations already performed are not returned.

The Platform may assign its rights and transfer its obligations under the offer to a successor, including a legal entity of the owner, with notice given in the same way as for a change to the offer; the Seller may withdraw from the contract.

16. Termination and closure

The Seller may stop using the Platform at any time. Before doing so, the Seller fulfils paid orders and subscriptions or refunds the money and warns buyers with active access. If the Seller closes a product, channel or bot, leaves the Platform or is restricted by the Platform, the Seller’s obligations to buyers who have already paid remain.

The Platform may unilaterally withdraw from the contract with the Seller: (a) without giving reasons, by notifying the Seller at least 7 calendar days in advance; in this case the Seller may apply to support for a refund of money for unused purchased tokens calculated under section 3.1 (bonus and used tokens are not refunded), after set-off of the Seller’s debts to the Platform, and partner programme remuneration is withdrawn under section 3.5; (b) immediately, in case of a material breach of the offer or the law, signs of fraud, a prohibited product or a demand from an authorised body, a bank or a payment provider. The Platform may refuse registration or access to the services to a person whose account was previously blocked for breaching the offer, and where required by law, banks and payment providers. After the contract ends, the following remain in force: the Seller’s obligations to buyers, monetary obligations and debts of the parties, the Platform’s rights of withholding and set-off, and the provisions on personal data, intellectual property, liability and dispute resolution.

An account is deleted on request through support. The Platform may postpone deletion until obligations are closed (active marketplace orders and disputes, debts, pending payouts, unfulfilled access); purchase records needed for disputes and accounting are kept for the periods established by law. An inactive account is not deleted automatically and its tokens are kept; for an inactive account the Platform may turn off auto-renewal of a purchased domain.

On documented death or incapacity of the Seller, the Platform may suspend acceptance of new payments, automatic messages and auto-renewals, keeping access already paid for until the end of its term where technically possible. Earnings due for payout are paid to the heirs or representative on the basis of notarial documents; rights to unused purchased tokens and to a domain pass in the manner established by the law of the Republic of Kazakhstan. Access to the workspace and customer data is given to third parties only on the decision of a court or a notary.

If the Platform or a separate service is closed, the Platform notifies Sellers in advance and gives them the opportunity to export customer data and content and to transfer purchased domains; the treatment of unused purchased tokens is determined by the law of the Republic of Kazakhstan.

17. Governing law

Relations between the Platform and Sellers, partners and marketplace providers from any country are governed by the law of the Republic of Kazakhstan. The choice of the law of the Republic of Kazakhstan does not deprive a User of the protection of mandatory provisions of the law of the country of their habitual residence that apply irrespective of the choice of law. Disputes are settled by a claim procedure: a claim is sent in writing to support@onim.app (to the Platform) or to the account email (to the Seller), stating the demands with supporting documents attached, and is considered within the time established by the law of the Republic of Kazakhstan or, where no such time is established, within a reasonable time. Disputes not settled are heard by a court of the Republic of Kazakhstan at the place of registration of AlmaStars Group, a sole proprietorship (Almaty), including disputes with foreign Users. A User who is a consumer may bring a claim under the jurisdiction rules established by law for consumer protection disputes.
